Unless otherwise noted, all design and content included on this Site, including text, graphics, logos, icons, images, artwork, audio and video clips and software is the property of Vellia Vey (or is used under license to Vellia Vey) and, for the avoidance of doubt, it is protected by Hong Kong and international copyright laws, and other laws and regulations.

Update of Terms

Vellia Vey may update these Conditions at any time without notice. Changes take effect immediately upon posting on the Site. You should review the Site for updates that affect your rights or obligations. By continuing to use the Site after changes, you accept the new terms. If you disagree, stop using the Site.

Content and Trademarks

All content on the Site, including text, graphics, logos, images, and software, is owned by Vellia Vey or its affiliates, licensors, or users. It is protected by HK and international laws. You may use this material for personal, non-commercial purposes only, and you can download or print copies for personal use. No rights to trademarks or service marks are granted without written permission. Vellia Vey will enforce its intellectual property rights fully.

Vellia Vey, its logos, and any product or service names on our Site are trademarks of Vellia Vey or its licensors. They cannot be copied or used without prior written permission. You also cannot use metatags or hidden text with "Vellia Vey" or related names without permission. Other trademarks mentioned are owned by their respective holders.

You are granted a personal, limited license to access and use the Site for informational, non-commercial, personal purposes. You may electronically copy and print portions of the Site, but this license prohibits: (a) Resale or commercial use of the Site or its materials. Site Information

Vellia Vey strives to provide accurate information across our platforms, but we do not guarantee it is always correct or complete. Occasionally, system or typographical errors may lead to incorrect data, including prices. These errors are not binding and can be corrected at any time. If a product is listed at a lower price than its actual cost, we may either inform the customer before shipping or cancel the order and notify them.

Information provided is not a binding contract. Customers can cancel orders based on incorrect information. If an order is shipped, customers can return the product for a full refund or pay the price difference. Please refer to our Return Policies.

Our inventory is dynamic; stock availability is subject to change. If an item is out of stock, we will inform the customer of alternatives. Product images may vary in size and color due to monitor settings.

Carat weight may vary by 0.05 carats, and gemstone measurements by 0.25mm. For diamond jewelry, we provide minimum total carat weight. Color and clarity grades are either minimum or average. Vellia Vey retains rights to all jewelry designs and may market them as desired.

Vellia Vey's product details and prices may change without prior notice. All prices are final and non-negotiable. To conserve natural resources and maintain quality, we do not allow purchasing multiple pieces for comparison, meaning buying several items to keep only one and return the rest. Vellia Vey and its affiliates provide natural diamond origin information without any express or implied warranties. We disclaim all implied representations, warranties, and conditions related to diamond origin where applicable. This information is based on supplier data and adherence to our chain of custody protocol. Although we strive for accuracy, we cannot guarantee the diamond origin information. This limitation of liability applies to anyone viewing, purchasing, or acquiring Vellia Vey diamonds listed with origin information.

All representations, including those about gemstone origin, repurposed precious metals, and estate information, are made to the best of our knowledge without any guarantees.

Account and Order

When you access or use the Vellia Vey website or your personalized account, you are solely responsible for keeping your account information confidential and for restricting access to your computer. You are also accountable for all activities under your account and password. If you are under 18, you may only use velliavey.com with the guidance of a parent or guardian. Vellia Vey reserves the right to refuse service, terminate accounts, edit content, or cancel orders at its discretion. If a chargeback is filed, Vellia Vey may recover its costs and revoke any promotional items, free shipping, or other benefits, as it deems appropriate.

Diamond Certificates

Customers that purchase lab grown diamonds, natural diamond with GIA or IGI grading reports will receive a link to the online certificate via email and your account center. To be environmentally friendly, we will no longer provide paper reports.

Order Confirmation and Cancellation

Receiving an order confirmation from Vellia Vey simply indicates that your order request has been received. Orders are not officially accepted until they are processed and approved at our headquarters. Vellia Vey is not required to fulfill any order and may cancel products or services for any customer at any time for any reason. In such cases, the customer's only recourse will be a full refund of any funds collected for the canceled products or services.

Privacy

Please review our Privacy Policy, which also covers your visit to this site and explains how Vellia Vey collects, uses, and discloses customers' personally identifiable information. Vellia Vey reserves the right to comply with legitimate governmental requests, subpoenas, or court orders, to protect its systems and customers, or to ensure the integrity and operation of its business and systems. Therefore, Vellia Vey may access and disclose any information it deems necessary or appropriate, including user profile information (such as name and email address), IP addresses, traffic data, usage history, and posted User Content. Vellia Vey's right to disclose such information takes precedence over any terms in its Privacy Policy.

Repeat Infringer Policy

In accordance with the Digital Millennium Copyright Act ("DMCA") and other applicable law, Vellia Vey has the sole discretion to terminate and bar specific website users or Vellia Vey account holders who under appropriate circumstances are determined to be repeat infringers. At times, Vellia Vey may reach out to social media users to seek their permission to feature our favorite content on our Site, social channels, or in promotional materials. Vellia Vey may request permission from you to use your social media User Content consisting of photos, text, graphics, audio, video, comments and other materials from social media sites, in connection with Vellia Vey's business, product features, marketing, promotional, advertising and other consumer-related activities. When you respond to a request for permission to use your social media User Content, you are granting Vellia Vey and its related agents, licensees, sublicensees, contractors, successors, legal representatives, assigns, and third-party service providers, and their respective retail partners, marketing or public relations agencies, and other affiliates (the "Licensed Parties") a worldwide, perpetual, irrevocable, royalty-free, fully-paid, non-exclusive, transferable, sublicensable right to use your social media User Content in any manner to be determined in the Licensed Parties' sole discretion, including but not limited to on webpages and social media pages operated by the Licensed Parties, in promotional e-mails and advertisements, and in any and all other marketing, promotional and advertising initiatives, and in any media now or hereafter known. The Licensed Parties may use, display, reproduce, distribute, transmit, create derivative works from, combine with other materials, alter and/or edit your social media User Content in any manner in their sole discretion, with no obligation to you whatsoever. You are also granting the Licensed Parties the right to use your username, real name, image, likeness, descriptions of you, location or other identifying information, including but not limited to your voice, in connection with any use of your social media User Content. You are also agreeing, representing and warranting that (i) you are solely responsible for your social media User Content, (ii) you own all rights in and to your social media User Content and/or have obtained appropriate rights and permissions from any and all other persons and/or entities who own, manage or otherwise claim any rights with respect to such social medial User Content, (iii) you are not a minor, (iv) the Licensed Parties' use of your social media User Content as described herein will not violate the rights, including but not limited to copyright, trademark, patent, trade secret, privacy, publicity, moral, proprietary or other rights, of any third party, or any law, rule or regulation, and (v) the social media User Content is not libelous, defamatory, obscene, pornographic, abusive, indecent, threatening, harassing, hateful, or offensive or otherwise unlawful. Please note that the social media User Content that you submit is deemed non-confidential and the Licensed Parties have no obligation to maintain the confidentiality of any information, in whatever form, contained in any submission, except pursuant to the Licensed Parties' respective privacy policies. By using this Site, you are consenting to the Licensed Parties' collection of any personal information you provide for the Licensed Parties' use and disclosure in connection with the use of your social media User Content as described herein. Your personal information may also be transferred to servers located outside the country in which you live or to third parties in other countries so that we may process personal information on the Licensed Parties behalf. By providing the Licensed Parties with personal information, you agree to the foregoing collection, use, disclosure, transfer and processing of your information in accordance with the terms of these Conditions, the Vellia Vey Privacy Policy and applicable data protection laws and regulations. Product Reviews and User Content

Vellia Vey's website and social media accounts may currently or in the future feature product reviews, discussion forums, user-generated content, or other interactive spaces where you or third parties can create, post, or store content, messages, materials, or other items ("Interactive Areas"). You are solely responsible for your use of these Interactive Areas.

By using any Interactive Areas, you agree not to post, upload, transmit, distribute, store, create, or otherwise publish any of the following on our website or social media accounts:

(h) Disruptive Content – User Content that, in Vellia Vey's sole judgment, is objectionable, restricts others' use of the Interactive Areas, or exposes Vellia Vey or its users to harm or liability.

License to User Content: If you post, email, or grant Vellia Vey permission to use your User Content (including social media posts), you grant Vellia Vey a non-exclusive, royalty-free, perpetual, irrevocable, and fully sublicensable global license to use, reproduce, modify, adapt, publish, translate, create derivative works, distribute, perform, and display such content in any media. Vellia Vey may also use the name you submit with the content.

Your Warranties: You represent and warrant that: (a) You own or have the necessary rights to the User Content; (b) The User Content is accurate and not misleading; (c) Posting the User Content complies with these Terms and will not violate any rights or cause harm.

Disclaimer of Liability: Vellia Vey assumes no responsibility for User Content posted by you or third parties, nor for any resulting damages, errors, defamation, obscenity, or other issues. Your use of Interactive Areas is at your own risk. Vellia Vey is not liable for user-posted content in any public forum or Interactive Area.

Content Moderation: Vellia Vey reserves the right (but not the obligation) to remove, screen, or edit User Content at any time without notice. You are solely responsible for backing up your content at your own expense.

Violations & Consequences: Misuse of Interactive Areas in violation of these Terms may result in suspension or termination of your access to the website and its features.

Disclaimer of Warranties

Vellia Vey makes no representations or warranties of any kind, whether express or implied, regarding the operation of the Site or the accuracy, completeness, or reliability of the information, content, materials, or products included on it. By using the Site, you expressly agree that: Your use is at your sole risk and discretion; You are solely responsible for any consequences resulting from such use. To the fullest extent permitted by law, Vellia Vey disclaims all warranties, including but not limited to: Implied warranties of merchantability and fitness for a particular purpose; Warranties of title and non-infringement concerning the Site's content and materials. Additionally, Vellia Vey does not guarantee that: The Site, its servers, or electronic communications will be error-free, accurate, reliable, or up-to-date; The Site will be free from viruses or other harmful components.

Limitation of Liability

Under no circumstances shall Vellia Vey, its directors, members, employees, affiliates, agents, or any parties involved in creating, producing, or delivering Vellia Vey products be liable to you or any third party for any damages resulting from:

• Acts beyond our control (natural disasters, communication failures, theft, destruction, or unauthorized access)

This limitation applies:
✓ Even if Vellia Vey was advised such damages might occur
✓ Even if caused by Vellia Vey or its representatives

Maximum liability shall not exceed:
• The purchase price of the product/service in question

Legal Note: Some jurisdictions don't permit exclusion of implied warranties. You're responsible for verifying local laws regarding such limitations.

Dispute Resolution

To the maximum extent permitted by law, any dispute arising with respect to this Agreement shall be resolved by negotiation between the parties or, if necessary, by resort to an appropriate court located in Hong Kong.

Applicable Law; General

To the maximum extent permitted by law, you agree that the law of Hong Kong, without regard to principles of conflict of laws, shall govern these Terms and any dispute that may arise between you and Vellia Vey. If any court of competent jurisdiction determines that any provision, or any portion thereof, contained in these Terms is unenforceable in any respect, such provision shall be deemed limited to the extent that such court deems it enforceable, and as so limited shall remain in full force and effect. If such court shall deem any such provision, or portion thereof, wholly unenforceable, the remaining provisions of these Terms shall nevertheless remain in full force and effect. These Terms, together with the Privacy Policy, constitute the entire agreement between you and Vellia Vey relating to your access to and use of the Site.

The rights and remedies of Vellia Vey set forth in these Terms are not exclusive of, but are cumulative to, any rights or remedies now or subsequently existing at law, in equity, by statute or otherwise.

No relaxation or delay by us in exercising any right or remedy under these Terms shall operate as waiver of that right or remedy or shall affect our ability to subsequently exercise that right or remedy. Any waiver must be agreed by us in writing.

Indemnification

You agree to defend, indemnify, and hold harmless Vellia Vey, its independent contractors, service providers and consultants, and its parents, affiliates, and related entities and their respective directors, officers, employees, and agents from and against all claims, losses, damages, liabilities, expenses and costs (including without limitation reasonable attorneys' fees and court costs), arising out of or relating to your breach of these Conditions or your access to or use of the Vellia Vey Site or inability to use the Site, including without limitation any actual or threatened suit, demand or claim made against Vellia Vey and/or its independent contractors, service providers, employees, directors or consultants, arising out of or relating to the Content, your conduct, your violation of these Terms and Conditions or your violation of the rights of any third party.

Termination

Notwithstanding any of these Conditions, Vellia Vey reserves the right, without notice and in its sole discretion, to terminate your license to use this site, and to block or prevent future your access to and use of the Site.

Miscellaneous

These Conditions contain the entire understanding of you and Vellia Vey with respect to the subject matter hereof and supersedes all prior agreements and understandings between you and Vellia Vey with respect to the subject matter hereof. The failure of Vellia Vey at any time to enforce any of the provisions of these Conditions will not be deemed or construed to be a waiver of any such provisions, or in any way to affect the right of Vellia Vey to thereafter enforce each and every provision of these Conditions. No waiver by Vellia Vey of any breach of any provision of these Conditions will be construed or deemed to be a waiver of any other subsequent breach. If any provision of these Conditions or portion thereof is declared invalid or otherwise determined to be invalid, illegal, or unenforceable for any reason, the remaining portions of the applicable provision and these Conditions will not be affected or impaired, and shall be considered valid and enforceable, and therefore shall be enforced to the greatest extent allowed by law. Provisions concerning your rights and obligations which by the content of the provision operate after termination or which are necessary to enforce any right will survive any termination or expiration of these Conditions.
